These Promotion Terms govern the "Summer Surge 2026" promotion (the "Promotion"). They supplement the Infercom Terms and Conditions available at infercom.ai/termsconditions (the "Terms"). Where these Promotion Terms conflict with the Terms, these Promotion Terms prevail for the Promotion only. Capitalised terms not defined here have the meaning given in the Terms.

1. Promotion period

The Promotion runs from Monday 24 August 2026, 00:00:00 CEST (UTC+2) to Monday 31 August 2026, 23:59:59 CEST (UTC+2) inclusive (the "Promotion Period").

Usage is attributed to the Promotion Period by the timestamp recorded by Infercom's metering system at the time the request is billed. Infercom's metering records are the sole basis for determining Eligible Usage. Usage recorded outside the Promotion Period does not count, including usage from a request that begins before or ends after the Promotion Period.

2. Who can take part

The Promotion is open to all Infercom customers, subject to clause 3. To take part you must:

• hold an active Infercom account in your own name or in the name of the legal entity you are authorised to represent;
• be established in the European Economic Area, the United Kingdom or Switzerland; and
• have no amount overdue to Infercom at any point during the Promotion Period.

All amounts stated in these Promotion Terms, including the EUR 500 Threshold, are exclusive of VAT and of any other applicable tax, consistent with Infercom's published list prices. VAT is charged in addition, at the rate applicable to you.

3. Who cannot take part

The following accounts are excluded from the Promotion and their usage does not count towards the Threshold:

• Partner accounts. A "Partner account" is any account held by, operated by, or operated on behalf of a party that has entered into a Sales Partner Agreement, a Reseller Partner Agreement or a Solution Partner Agreement with Infercom, whether that account is used for the partner's own consumption or for consumption on behalf of the partner's customers. This exclusion applies for the whole Promotion Period, including where the agreement is signed during the Promotion Period.
• Accounts on committed, negotiated or otherwise non-standard pricing, including enterprise agreements, volume commitments, dedicated or reserved capacity contracts, and any account whose rates are not Infercom's published list prices.
• Accounts in arrears, meaning any account with an amount overdue to Infercom at any point during the Promotion Period.
• Accounts suspended or terminated under the Terms, or under investigation for a breach of the Terms or of the Acceptable Use provisions.
• Employees, officers and contractors of Infercom and of its group companies, and accounts operated for internal testing, evaluation or demonstration purposes.

4. What counts as Eligible Usage

"Eligible Usage" means charges for inference requests served during the Promotion Period on any model available on the Infercom platform, measured exclusive of VAT and of any other applicable tax, at Infercom's published list prices. All models count. Chat, completions, embeddings and speech usage all accumulate towards the same Threshold.

The following are not inference charges and therefore do not count as Eligible Usage and are not discounted:

• support fees, professional services, onboarding, integration or training fees;
• dedicated or reserved capacity charges, and any recurring platform or subscription fee;
• taxes, duties, bank charges, currency conversion charges and payment processing fees;
• any charge already discounted under another agreement, promotion or credit.

Infercom may add or remove models from the Services during the Promotion Period in the normal course of operating the platform. Usage of any model served at Infercom's published list prices during the Promotion Period is Eligible Usage.

5. The offer

If your Eligible Usage across the whole Promotion Period reaches EUR 500 (excluding VAT), Infercom will grant you a Promotional Credit equal to 50% of your total Eligible Usage in the Promotion Period (the "Threshold").

• Eligible Usage of exactly EUR 500 qualifies. The Threshold is reached at EUR 500, not exceeded.
• The discount applies to all your Eligible Usage in the Promotion Period, including the first EUR 500. It is not limited to usage above the Threshold.
• If your Eligible Usage in the Promotion Period is below EUR 500, no Promotional Credit is granted and you pay standard prices for all usage.

6. How the Threshold is measured

• Per billing account. Eligible Usage is aggregated across all models, all API keys and all users on a single Infercom billing account.
• Not transferable. Eligible Usage cannot be combined across separate accounts, including accounts held by affiliated companies, group companies or companies under common control, and cannot be transferred, pooled, assigned or sold.
• One credit per account. An account can qualify once.
• Infercom's metering and billing records are final in the absence of manifest error.

7. How the Promotional Credit is granted and used

• Infercom will apply the Promotional Credit to your account on or before 8 September 2026. Nothing needs to be claimed. No code needs to be entered.
• The Promotional Credit is granted as a service credit against future consumption of the Services. It is applied to your Infercom account balance and is drawn down against subsequent Eligible Usage charges.
• The Promotional Credit has no cash value. It is not redeemable for cash, is not refundable, cannot be set off against any other amount owed to Infercom, and cannot be transferred or assigned to any other person or account.
• The Promotional Credit expires six (6) months after the date it is applied. Any unused balance lapses on expiry without compensation.
• If your account is closed, suspended or terminated, any unused Promotional Credit lapses immediately.
• The Promotional Credit is applied to charges exclusive of VAT. VAT is charged and invoiced in accordance with applicable law on the amounts actually payable.

8. No combination with other offers

The Promotional Credit cannot be combined with any other discount, promotion, credit, rebate or negotiated rate applying to the same usage. Where usage would qualify under more than one arrangement, the single most favourable arrangement applies, never both.

9. Fair use and abuse

Infercom may withhold or reverse a Promotional Credit, and may exclude an account from the Promotion, where it reasonably believes that the account has:

• generated usage principally for the purpose of reaching the Threshold rather than for a genuine business purpose;
• created or used multiple accounts to obtain more than one Promotional Credit, or split usage across accounts;
• breached the Terms or the Acceptable Use provisions; or
• provided false or misleading information, including about business status.

Nothing in the Promotion changes your obligations under the Terms.

10. Service levels unchanged

The Promotion does not modify service levels, availability commitments, support response times, rate limits, data residency arrangements or any other term of the Terms or of any Data Processing Agreement in place between us. Discounted usage is served on the same basis as standard usage.

11. Changes and withdrawal

Infercom may amend these Promotion Terms, or suspend or withdraw the Promotion, at any time where this is necessary for legal, regulatory, security or operational reasons, including to protect platform stability. Infercom will publish any change at infercom.ai/summer-surge and, where the change is material, notify participating account holders by email.

Any entitlement you have already accrued before the change, suspension or withdrawal takes effect is preserved. Eligible Usage already recorded continues to count towards the Threshold, and a Promotional Credit already earned will still be granted.

12. Data protection

Infercom processes account, usage and billing data to administer the Promotion. This processing is described in the Infercom Privacy Statement at infercom.ai/privacypolicy. The Promotion does not change the allocation of controller and processor roles set out in the Terms and in any Data Processing Agreement between us.

13. Liability

Nothing in these Promotion Terms excludes or limits liability that cannot be excluded or limited under applicable law. Subject to that, the limitations and exclusions of liability in the Terms apply to the Promotion.

14. Governing law and jurisdiction

These Promotion Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action or proceeding arising out of or related to these Promotion Terms shall be instituted exclusively in the courts of Luxembourg City.

15. General

If any provision of these Promotion Terms is held invalid, illegal or unenforceable, it shall be eliminated or limited to the minimum extent necessary, and the remaining provisions continue in full force and effect. Failure to enforce a provision is not a waiver of it.
